Do I need content complete and ready?
Not at first. If you don’t have any or too little content, please let us know. We can work with you by sourcing high quality stock images and inserting placeholders while you create the necessary content. When you are ready to send us your content, you will be able to do so via the file uploader in your account page

Not at first, but eventually you will need to get one in order for your website to go live. We can help you find a good domain for your website. Please let us know if you need one.

Do I need a Payment Processor or Merchant Account?
Not at first, but before your store goes live and in order for you to charge customers, we’ll need to integrate a payment processor into your store. We will use PayPal or Stripe, but if you have a preferred processor, let us know so we can see if integration is possible. If you do not have a PayPal or Stripe account, we can help you set one up and begin running your digital store.
Can you deliver within 30 Days?
We have been working in this field for years. We have already tested which themes, plugins, and 3rd party apps work best. With this method we can tell you exactly what content we need and you will get a website quickly without losing your individuality.
How can I Get Started?

Web Site & Web App Design and Development Services Agreement
Between MPACTS Corp. and You
We’ll always do our best to fulfill your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong. In this contract you won’t find any complicated legal terms or long passages of unreadable text. We’ve no desire to trick you into signing something that you might later regret. What we do want is what’s best for both parties, now and in the future.
So in short;
You, the individual, organization, or business purchasing products or services on this website (“You”) are hiring us, MPACTS Corp. (“We or Us”) to:

Of course, it’s a little more complicated, but we’ll get to that.
What do both parties agree to?
You: You have the authority to enter into this contract on behalf of yourself, your company or your organization. You’ll give us the assets and information we tell you we need to complete the project. You’ll do this when we ask and provide it in the formats we ask for. You’ll review our work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out at the end of this contract.
Us: We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavor to meet every deadline that’s set and on top of that we’ll maintain the confidentiality of everything you give us.
GETTING DOWN TO THE NITTY GRITTY
We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devices and screen sizes. We create designs iteratively and use predominantly HTML and CSS so we won’t waste time mocking up every template as a static visual. We may use visuals to indicate a creative direction (color, texture and typography.) We call that ‘atmosphere.’
You’ll have plenty of opportunities to review our work and provide feedback. We’ll create an account for you on our website where you can access a project manager, allowing you to keep track of our project and collaborate with us via messages and comments, we’ll have regular, possibly daily contact.
If, at any stage, you change your mind about what you want to be delivered and are not happy with the direction our work is taking you’ll pay us in full for the time we’ve spent working with you until that point and terminate this contract.
Unless agreed separately, we’re not responsible for inputting text or images into your content management system or creating every page on your website. We provide professional copywriting and editing services, so if you’d like us to create new content or input content for you, we can provide a separate estimate for that.
Graphics and photographs
You should supply graphic files in an editable, vector digital format. You should supply photographs in a high-resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search for photographs for you, we can provide a separate estimate for that. If we end up having to use images due to the lack of sent images, we will utilize royalty free images from sites like unsplash.
WordPress, WooCommerce, 3rd Party Apps, & API’s
We develop our web sites and web apps using WordPress and WooCommerce for stores. We the highest quality open sourced software packages, 3rd party apps, plugins and API’s to power custom built solutions.
Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.
We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge), Mozilla Firefox and Opera. We’ll also test to ensure that people who use Microsoft Internet Explorer 11 for Windows get an appropriate experience. We won’t test in other older browsers unless we agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.
Mobile browser testing
Mobile browser testing using popular smaller screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in: iOS 9: Safari, Google Chrome Android: Google Chrome on Android Emulator
We won’t test in Blackberry, Opera Mini/Mobile, specific Android devices, Windows or other mobile browsers unless we agreed separately. If you need us to test using these, we can provide a separate estimate for that.
We’re not a website hosting company so we don’t offer support for website hosting, email or other services relating to hosting. You may already have professional hosting and you might even manage that hosting in-house; if you do, great. If you don’t, we can set up an account for you at one of our preferred hosting providers. We can set up your site on a server, plus any statistics software such as Google Analytics and we can provide a separate estimate for that. Then, the updates to, and management of that server will be up to you.
Search engine optimization (SEO)
We don’t guarantee improvements to your website’s search engine ranking, but the web pages that we develop are accessible to search engines.
Changes and revisions
We don’t want to limit your ability to change your mind. The price at the beginning of this contract is based on the number of weeks that we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate estimate for those additional weeks.
We’ll carry out our work in accordance with good industry practice and at the standard expected from a suitably qualified person with relevant experience.
That said, we can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.
Your liability to us will also be limited to the amount of fees payable under this contract and you won’t be liable to us or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if we’ve advised you of them.
Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
Intellectual property rights
Just to be clear, “Intellectual property rights” means all patents, rights to inventions, copyright (including rights in software) and related rights, trademarks, service marks, get up and trade names, internet domain names, rights to goodwill or to sue for passing off, rights in designs, database rights, rights in confidential information (including know-how) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or shall subsist now or in the future in any part of the world.

First, you guarantee that all elements of text, images or other artwork you provide are either owned by your good selves, or that you’ve permission to use them. When you provide text, images or other artwork to us, you agree to protect us from any claim by a third party that we’re using their intellectual property.

Provided you’ve paid for the work and that this contract hasn’t been terminated, we’ll assign all intellectual property rights to you as follows:
You’ll own the website we design for you plus the visual elements that we create for it. We’ll give you source files and finished files and you should keep them somewhere safe as we’re not required to keep a copy. You own all intellectual property rights of text, images, site specification and data you provided, unless someone else owns them.
We’ll own any intellectual property rights we’ve developed prior to, or developed separately from this project and not paid for by you. We’ll own the unique combination of these elements that constitutes a complete design and we’ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.
Displaying our work
We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our portfolio and in articles on websites, in magazine articles and in books.
We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to stick tight to the following payment schedule.
Payment Obligations, Renewals, and Cancellations
1. Project Development Payment Obligations: Web Development, E-commerce and other Packages listed and purchased online require full payment before the project can begin. A down payment is required to begin a custom development project. This is usually 50% of the project fee, unless an alternative contract or proposal specifies a different amount. The outstanding balance on your project is due after the design, navigation and pages have been approved and built. Final payment is due regardless of whether all content for the pages has been sent by the client. This provision is in place to encourage the client to get content submitted promptly so that their site can go live. It also ensures that MPACTS Corp. gets paid for performing their duty under the proposal, despite tardy content from the client. After payment, MPACTS Corp. will still host outstanding content AT NO CHARGE for 3 months. In the event an “under construction” page is posted due to missing content, MPACTS Corp. will post ONE copy of any text/pictures on existing pages only, for up to 3 months after publish date. After the three months have expired, content posted to site will be billable at our current regular hourly rate. If design and navigation changes are requested by client after they have been specifically approved by the client, these changes will be billable at our current regular hourly rate.
2. Project Development Cancellation: If project design and development work has already begun (such as creating a design concept), then the down payment is non-refundable. MPACTS Corp. may elect at its sole discretion to offer a partial refund depending upon the circumstances.
3. Stock Photography Payment Obligations: Stock photography includes most photos and/or images not provided by the client. Stock photography purchased on behalf of client for use in project development is billable. This amount is separate from the amount quoted for design and development. Some pictures are more expensive than others, in which case we will solicit client approval and communicate the cost to purchase photos before purchasing. In case we have to resort to using stock photography, we will try our best to use free royalty-free stock images and graphics.
4. Description of Ongoing Costs: There are 3 types of ongoing costs: domain registration/renewal, hosting, and 3rd party software licensing fees. These fees and services are not billed by MPACTS Corp.. If your project requires these services, we will let you know what it is and their costs.
4a. Domain name registration/renewal: This cost recurs annually. Domain name registration gives you exclusive rights to a certain name, such as www.mygroup.org, so that you can use it for your web-based purposes. You are NOT required to register a domain before starting a project, but we strongly PREFER that you do. If you need assistance in getting a domain, we can help you.
4b. Hosting: This cost can recur monthly or annually. Hosting places the website on a server connected to the web, which allows you to post a website for viewing through a browser. You are NOT required to have a hosting provider before you begin a project, but we strongly PREFER that you do. Hosting comes with domain-based emails, bandwidth, storage space, database and security tools, and other features. Projects that involve custom programming and complex functionality might require us to upgrade your hosting resources. If you do not have hosting already, we can help you get the appropriate amount of computing power you will need to launch your project.
4c. 3rd Party Software & Licensing: If your project requires us to use 3rd party plugins, apps, or api’s that require a recurring licensing fee, we will let you know and help you acquire and integrate the software. You will be responsible for the recurring billing of these 3rd party solutions.
5. Website Maintenance: There are no required maintenance fees other than domain registration, hosting, and 3rd party software licensing fees if your project requires it. Most people do some work on their site every year and keep things updated themselves. Our projects implement a custom Content Management System with powerful and easy to use editing tools allowing you to update and manage your site easily. For work we do on the site after going live, we charge on an hourly basis. If you expect that maintenance will be a regular occurrence, you can buy a prepaid maintenance contract that affords a discounted hourly rate. If need be, we can customize a maintenance plan for your needs, but no plan is required.
6. Website Maintenance Payment Obligations: Depending upon the nature of the website changes, prepayment may be required. Should the client be invoiced after the changes are completed, the invoice is due upon receipt. If payment is not received within 30 days, the maintenance changes may be taken down until payment is received. After 60 days, there may also be a reposting fee added to the outstanding maintenance invoice balance.
But where’s all the horrible small print?
Just like a parking ticket, neither of us can transfer this contract to anyone else without the other’s permission.
We both agree that we’ll adhere to all relevant laws and regulations in relation to our activities under this contract and not cause the other to breach any relevant laws or regulations.
This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of the State of Florida.
